Service Scope

New Matrix Capital provides business advisory, strategic, analytical, educational, and facilitative services relating to business growth, capital strategy, capital structure planning, funding sequencing, cash-flow optimization, and navigation of the commercial financing ecosystem.

• Advisory and consultative services only
• No lending, credit extension, or underwriting
• No guarantees regarding approvals, pricing, timing, or outcomes
• Financing provided by third parties subject to their approval
• We may facilitate introductions to third-party providers

Consultation Process

We begin with a complimentary initial consultation to understand your business needs and capital requirements. During this consultation, we discuss your situation, answer questions, and provide preliminary guidance.

Following the initial consultation, if you choose to engage our services, we will discuss our advisory approach, scope of work, and compensation structure before any formal engagement begins. All advisory services are governed by our Master Client Services Agreement.

Information & Data Use

We collect information necessary to provide advisory services, including business financials, capital needs, and related documentation. By engaging our services:

• Information is collected as needed for advisory services and facilitation
• We may share information with third-party financing providers to facilitate introductions
• Client grants Company rights to use, share, and commercialize Client Data as described in Schedule 2 of the Master Client Services Agreement
• Data may be used for analytics, benchmarking, and service improvement (in anonymized or aggregated form)
• Third-party providers maintain independent data practices — review their agreements carefully

Compensation & Fees

Our compensation structure is discussed during the consultation process. Fees are based on the scope of advisory services provided and are disclosed before any formal engagement begins.

• Compensation structure is discussed and agreed upon before services commence
• Payment terms and methods are established at the time of engagement
• We may receive compensation from third-party providers in connection with successful placements

Full Disclosure

Electronic Records & Signatures

By engaging our services, you consent to:

• Electronic records and electronic delivery of agreements and disclosures
• Electronic signatures having the same legal effect as handwritten signatures
• Receipt of notices and communications via electronic means

Dispute Resolution

As set forth in Schedule 7 of the Master Client Services Agreement:

• Binding Arbitration: Disputes are resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
• Governing Law: The Agreement is governed by the laws of the State of Delaware
• Class Action Waiver: Client waives the right to participate in class actions or class arbitrations
• Jury Waiver: To the extent litigation occurs, both parties waive the right to a jury trial

Personal Guaranty

Certain engagements may require execution of a Personal Guaranty (Schedule 4 of the Master Client Services Agreement). If applicable:

• Individual principals may be required to personally guarantee obligations under the Agreement
• The Personal Guaranty is absolute, unconditional, and continuing
• Specific terms will be disclosed before execution

Third-Party Facilitation

As described in Schedule 3 of the Master Client Services Agreement:

• Company may facilitate introductions to third-party financing providers
• Company is not responsible for third-party decisions, terms, or outcomes
• Third-party agreements are between Client and the third party only
• Client should review all third-party terms independently

New Matrix Capital provides advisory, consultative, strategic, analytical, educational, and facilitative services only. We are not a lender, do not extend credit, do not underwrite transactions, and do not make credit decisions.

Financing is provided by third parties and subject to their approval. We do not guarantee any financing approvals, terms, or outcomes. Clients are encouraged to consult with independent legal, financial, and tax advisors as appropriate.

By engaging our services, you agree to the terms of the Master Client Services Agreement, including all schedules and exhibits.
